Terms of Service

WeFit Labs Inc. — A Delaware Corporation

1. Acceptance of Terms

Welcome to PicklePals! These Terms of Service (“Terms”) constitute a legally binding agreement between you and WeFit Labs Inc. (“WeFit Labs,” “we,” “us,” or “our”), a Delaware corporation, governing your access to and use of the PicklePals platform, including the website at pbpals.app, any related mobile applications, and all associated services (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.

We may update these Terms from time to time. When we do, we will revise the “Effective Date” above and notify you via email or through the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

2. Definitions

  • “Community Manager” or “CM” means any individual who creates an account on the Platform to organize, manage, and administer pickleball events and communities.
  • “Player” means any individual who registers for an event through the Platform, whether as a primary registrant or as a guest.
  • “Event” means any pickleball session, game, tournament, or gathering created and published by a Community Manager on the Platform.
  • “Community” means the branded group established by a Community Manager, including its members, events, and associated content.
  • “Content” means any text, images, data, or other materials that you submit, post, or transmit through the Platform.

3. Eligibility

You must be at least 18 years old to use the Platform as a Community Manager. Players under 18 may register for events only with the consent of a parent or legal guardian who agrees to these Terms on their behalf.

By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms and that all registration information you provide is accurate, current, and complete.

4. Accounts and Registration

4.1 Community Manager Accounts

To create and manage events, you must register for a Community Manager account by providing your email address, password, community name, and optional tagline. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at ethan@wefitlabs.com of any unauthorized use of your account or any other breach of security.

4.2 Player Registration

Players may register for events without creating an account. By submitting your name, email address, and phone number during event registration, you agree to these Terms and consent to receiving communications related to the event you registered for.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms. You may also delete your account at any time by contacting us at ethan@wefitlabs.com.

5. Use of the Platform

5.1 Permitted Use

The Platform is provided for the purpose of organizing, managing, and participating in pickleball events and communities. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Interfere with or disrupt the Platform or servers or networks connected to the Platform
  • Attempt to gain unauthorized access to any part of the Platform, other accounts, or any systems or networks connected to the Platform
  • Use any automated means (bots, scrapers, spiders) to access the Platform or collect data
  • Upload, post, or transmit any content that is defamatory, obscene, abusive, harassing, or otherwise objectionable
  • Use the Platform to send unsolicited communications, spam, or promotional materials
  • Collect or store personal information about other users without their express consent

6. Events, Registration, and Waitlists

6.1 Event Creation

Community Managers are solely responsible for the accuracy of event details, including date, time, location, pricing, capacity, and cancellation policies. WeFit Labs does not verify or endorse any events listed on the Platform.

6.2 Registration and Spot Allocation

Event spots are allocated on a first-paid, first-served basis. Registering for an event constitutes your agreement to the event’s pricing, cancellation policy, and any rules set by the Community Manager.

If an event reaches capacity, additional registrants will be placed on a waitlist. Waitlisted players are automatically promoted to confirmed status when a spot becomes available, in the order they registered.

6.3 Guest Registration

Players may register a guest (a “+1”) during the registration process. The primary registrant is responsible for the guest’s payment and conduct. If a primary registrant is removed from an event, any linked guests will also be removed.

6.4 Cancellation Policies

Each event may have a cancellation window set by the Community Manager. Cancellations made within the cancellation window are eligible for a refund as determined by the Community Manager. Cancellations made after the window closes are subject to the Community Manager’s no-refund policy.

WeFit Labs is not responsible for enforcing refund or cancellation policies between Community Managers and Players.

7. Payments

7.1 Peer-to-Peer Payments

The Platform facilitates peer-to-peer payment coordination between Players and Community Managers via third-party services such as Venmo and Zelle. WeFit Labs does not process, hold, transmit, or have access to any payments made between users. All payments are made directly from Player to Community Manager using external payment services.

WeFit Labs is not a party to any payment transaction between a Player and a Community Manager. We are not responsible for any payment disputes, failed transactions, incorrect payment amounts, or issues arising from the use of third-party payment services.

7.2 Platform Fees

The Platform is currently offered free of charge during its beta period. WeFit Labs reserves the right to introduce fees, subscriptions, or other charges for use of the Platform in the future. We will provide reasonable advance notice of any pricing changes via email or through the Platform.

7.3 Third-Party Payment Services

Your use of Venmo, Zelle, or any other third-party payment service is governed by that service’s own terms of service and privacy policy. WeFit Labs makes no representations or warranties regarding the availability, security, or functionality of any third-party payment service.

8. Communications and Notifications

8.1 Transactional Communications

By using the Platform, you consent to receive transactional communications related to your use of the Platform, including but not limited to:

  • Event registration confirmations and updates
  • Waitlist status changes and spot promotions
  • Cancellation and refund notifications
  • Payment reminders and instructions
  • Account-related notices (security alerts, terms updates)

These communications are essential to the operation of the Platform and cannot be opted out of while you maintain an active account or active event registrations.

8.2 Marketing and Promotional Communications

With your consent, we may send you marketing and promotional communications about the Platform, new features, events, or partner offers. You may opt out of marketing communications at any time by following the unsubscribe instructions in the email or by contacting us at ethan@wefitlabs.com.

8.3 Communication Methods

Communications may be delivered via email, push notification, SMS/text message, or in-app notification. Standard messaging and data rates may apply for SMS communications. You are responsible for ensuring your contact information is accurate and up to date.

9. Community Manager Responsibilities

As a Community Manager, you acknowledge and agree that:

  • You are solely responsible for organizing, managing, and overseeing your events, including all interactions with Players
  • You will ensure that all event information is accurate, including pricing, location, time, and capacity
  • You are solely responsible for collecting and managing payments from Players, including handling refunds and disputes
  • You will comply with all applicable local, state, and federal laws in connection with organizing your events, including any permits, insurance, or liability waivers that may be required by your venue
  • You will not use the Platform to discriminate against any individual based on race, color, religion, sex, national origin, disability, age, sexual orientation, gender identity, or any other protected characteristic
  • WeFit Labs acts solely as a technology provider and is not a co-organizer, sponsor, or promoter of your events

10. Intellectual Property

10.1 Platform Ownership

The Platform, including all software, design, text, graphics, logos, and other content provided by WeFit Labs, is owned by or licensed to WeFit Labs and is protected by copyright, trademark, and other intellectual property laws. “PicklePals” and the PicklePals logo are trademarks of WeFit Labs Inc.

10.2 Your Content

You retain ownership of any Content you submit to the Platform. By submitting Content, you grant WeFit Labs a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display your Content solely for the purpose of operating and improving the Platform.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant WeFit Labs a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without any obligation to you.

11. Privacy and Data

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Community Managers acknowledge that they may have access to Player personal information (such as names, email addresses, and phone numbers) in connection with managing events. Community Managers agree to handle such information in accordance with applicable privacy laws and will not use Player data for any purpose unrelated to the events organized through the Platform.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

WeFit Labs does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

WeFit Labs does not endorse, verify, or guarantee the quality, safety, or legality of any event listed on the Platform, the accuracy of event listings, or the ability of Community Managers to organize events or Players to participate in them.

13. Limitation of Liability

To the maximum extent permitted by applicable law, WeFit Labs, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

  • Your use of or inability to use the Platform
  • Any events organized or attended through the Platform, including any injuries, property damage, or disputes
  • Any payment disputes between Community Managers and Players
  • Any unauthorized access to or alteration of your data or transmissions
  • Any conduct of any third party on the Platform

In no event shall WeFit Labs’ total aggregate liability exceed the greater of (a) the amount you paid to WeFit Labs in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless WeFit Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Any Content you submit, post, or transmit through the Platform
  • Any event you organize or participate in through the Platform

15. Assumption of Risk

Pickleball is a physical sport that carries inherent risks of injury. By using the Platform to register for or participate in any event, you acknowledge and accept these risks.

WeFit Labs is not responsible for any injuries, damages, or losses sustained during or in connection with any event organized through the Platform. Community Managers and Players participate at their own risk.

Community Managers are encouraged to obtain appropriate liability insurance and to require participants to sign waivers where appropriate. WeFit Labs does not provide insurance coverage for any events.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at ethan@wefitlabs.com and attempt to resolve the dispute informally for at least thirty (30) days.

16.2 Binding Arbitration

If the dispute cannot be resolved informally, you and WeFit Labs agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

Arbitration will take place in New York, New York, or at another mutually agreed location. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

You and WeFit Labs agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WeFit Labs regarding the Platform and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

The failure of WeFit Labs to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the prior written consent of WeFit Labs. WeFit Labs may assign its rights and obligations under these Terms without restriction.

18.5 Force Majeure

WeFit Labs shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, or third-party service failures.

18.6 Notices

All notices to WeFit Labs should be sent to ethan@wefitlabs.com. Notices to you will be sent to the email address associated with your account or registration. Notices are deemed received when sent by email.
